Welcome to eVehicleMatch. By accessing or using our platform, you acknowledge and agree to be bound by these Terms of Service ("Terms"). eVehicleMatch is an electric-vehicle platform that helps you discover products and connect with others in the EV community, including marketplace purchases and tools for coordination, reviews, and related features. If you do not agree to these Terms, you may not use our services.

When you use certain features, we may ask you to accept additional terms at that time. Where those additional terms apply to a specific activity, they supplement these Terms for that activity.

1. General Use of the Platform

By using our platform, you agree to:

• Use the platform only for lawful purposes and in accordance with these Terms
• Provide accurate, current, and complete information when creating an account, using features that require profile or contact details, or making a purchase
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable local, state, and federal laws and regulations

We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the platform without notice or liability.

2. Account Creation and Responsibilities

To access certain features of our platform, you must create an account. When creating an account, you agree to:

• Provide accurate, truthful, and complete information
• Maintain and promptly update your account information to keep it accurate
• Maintain the confidentiality of your account password and any other security information
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

You are responsible for all actions taken under your account, whether authorized by you or not. We are not liable for any loss or damage arising from your failure to comply with these security obligations. You may not transfer or sell your account to another party without our prior written consent.

3. Marketplace Facilitator Tax Collection in North Carolina

Scope: This section applies when you purchase goods through the eVehicleMatch marketplace checkout as a buyer and North Carolina sales tax applies to your order under marketplace facilitator rules.

eVehicleMatch operates as a marketplace facilitator in North Carolina. As such, we are required by North Carolina law to collect and remit sales tax on behalf of sellers for transactions involving North Carolina customers where applicable.

For Customers: When you make a purchase through our platform and you are located in North Carolina, applicable sales tax may be automatically calculated and added to your purchase total. This tax is collected by eVehicleMatch as the marketplace facilitator and remitted to the North Carolina Department of Revenue on behalf of the seller. The tax amount will be clearly displayed before you complete your purchase.

Tax rates are calculated based on the delivery address provided at checkout. We make every effort to ensure accurate tax calculation, but you are responsible for verifying that all tax information is correct. If you believe an error has been made in tax calculation, please contact us immediately.

4. Dispute Resolution Process

We are committed to providing a fair and transparent dispute resolution process. Sections 4.1 through 4.3 below address disputes related to marketplace purchases and payments processed through eVehicleMatch. Disputes between you and eVehicleMatch about these Terms or your use of the platform may also follow this Section (including arbitration in Section 4.4 where applicable).

4.1 Transaction Disputes: If you have a dispute regarding a marketplace transaction (including but not limited to product quality, shipping issues, warranty claims, or payment disputes), you should first attempt to resolve the matter directly with the other party. If direct resolution is not possible, you may contact our support team at support@eVehicleMatch.com.

4.2 Dispute Resolution Timeline: We will review disputes within 5-10 business days of receiving all necessary information. During this time, we may request additional documentation, photos, or other evidence from both parties. Our decision will be based on the terms of sale, these Terms of Service, and applicable law.

4.3 Payment Processor Disputes: If you initiate a dispute through Stripe, PayPal, or any other payment processor, these Terms of Service will serve as the basis for resolving the dispute. By using our platform, you agree that any payment processor disputes will be handled in accordance with these Terms and our dispute resolution procedures.

4.4 Binding Arbitration: If a dispute cannot be resolved through our internal process, you agree that any disputes arising out of or relating to these Terms or your use of the platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to a jury trial and agree to resolve disputes on an individual basis, not as part of a class action.

5. Lithium Battery Shipping Compliance

Scope: This section applies to products sold and shipped through the marketplace where lithium batteries are involved.

Many electric vehicles and related products contain lithium batteries, which are subject to strict shipping regulations. When you purchase such products, you should be aware of the following:

5.1 Shipping Restrictions: Lithium batteries are classified as hazardous materials and are subject to regulations from the U.S. Department of Transportation (DOT), the International Air Transport Association (IATA), and other regulatory bodies. Shipping methods and carriers may be limited based on battery type, capacity, and destination.

5.2 Purchaser Responsibilities: When purchasing products containing lithium batteries, you acknowledge that:

• Shipping may be restricted to certain carriers or methods
• Additional shipping fees may apply due to hazardous materials handling requirements
• Delivery times may be extended due to compliance requirements
• Some products may not be shippable to certain locations
• You must provide accurate delivery address information

5.3 Compliance: Failure to comply with lithium battery shipping regulations may result in shipment delays, returns, or additional fees. eVehicleMatch is not responsible for delays or issues arising from non-compliance with shipping regulations.

6. Privacy and Data Usage

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our platform, you consent to the collection and use of your information as described in our Privacy Policy.

We collect information necessary to facilitate transactions, operate the platform, provide customer support, improve our services, and comply with legal obligations. This may include:

• Account information (name, email, address, phone number)
• Payment information (processed securely through third-party payment processors)
• Transaction history and purchase records
• Activity on the platform, such as memberships, RSVPs, follows, reviews, and optional communications or waiver-related data as described in our Privacy Policy
• Communication records with sellers, organizers, and support staff
• Usage data and platform interaction information

We may share your information with sellers and partners as needed to facilitate order processing, shipping, and warranty support. We do not sell your personal information to third parties for marketing purposes. For complete details, please review our Privacy Policy.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violate any applicable laws, regulations, or third-party rights
• Use the platform for any illegal or unauthorized purpose
• Interfere with or disrupt the platform, servers, or networks connected to the platform
• Attempt to gain unauthorized access to any portion of the platform, accounts, computer systems, or networks
• Transmit any viruses, malware, or other harmful code
• Use automated systems (bots, scrapers) to access the platform without permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harass, abuse, or harm other users
• Collect or store personal information about other users without their consent
• Use the platform to compete with eVehicleMatch or to build a competing service
• Reverse engineer, decompile, or disassemble any portion of the platform
• Circumvent or attempt to circumvent any security measures or payment systems

Violation of these prohibitions may result in immediate termination of your account, legal action, and reporting to law enforcement authorities.

8. Limitation of Liability

8.1 Platform Role: eVehicleMatch provides an online platform that facilitates connections between buyers and sellers and hosts tools and content supplied by users and third parties. For qualifying marketplace purchases, we act as a marketplace facilitator and payment facilitator where applicable; we are not a party to sales between you and independent sellers, except in our facilitator capacity. We do not own, manufacture, or control products listed by sellers. For user-generated content, events, rides, reviews, and similar interactions, we provide hosting and tools; we are not responsible for the conduct of other users, organizers, or third parties, and any participation in offline activities is at your own risk. We do not monitor all user or community activity in real time, pre-screen all content, or supervise offline conduct. Listing or hosting content or communities does not mean we endorse it.

8.2 Warranty: Products purchased through our platform may include warranties provided by sellers or manufacturers. eVehicleMatch does not provide warranties for products sold by third-party sellers, except as explicitly stated. Your purchase may include a 12-month parts warranty (labor not covered) as specified by the seller. Warranty claims must be directed to the seller or manufacturer, not to eVehicleMatch.

8.3 Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEHICLEMATCH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

8.4 Maximum Liability: Our total liability to you for all claims arising out of or relating to your use of the platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

8.5 Exclusions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

9. User-Generated Content Policies

Our platform may allow you to post, upload, or submit content, including reviews, comments, photos, and other materials ("User Content"). You retain ownership of your intellectual property rights in User Content you submit. The license below is limited to what we need to operate, display, and improve the platform (including enforcement of these Terms)—it does not transfer ownership of your underlying rights to us.

By submitting User Content, you grant eVehicleMatch a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media, solely for purposes of operating and promoting the services and as described in these Terms.

9.1 Content Standards: You agree that your User Content will:

• Be accurate and truthful
• Not violate any third-party rights (including intellectual property, privacy, or publicity rights)
• Not be defamatory, libelous, obscene, pornographic, or offensive
• Not contain spam, advertising, or promotional materials without authorization
• Not contain viruses or other harmful code
• Comply with all applicable laws and regulations

9.2 Content Moderation: We reserve the right to review, edit, or remove any User Content at our sole discretion. We are not obligated to monitor User Content but may do so to ensure compliance with these Terms.

9.3 Responsibility: You are solely responsible for your User Content and the consequences of posting it. We do not endorse any User Content and disclaim all liability related to User Content.

10. Intellectual Property Rights

10.1 Platform Ownership: The eVehicleMatch platform, including all content, features, functionality, design, text, graphics, logos, icons, images, audio clips, digital downloads, and software, is owned by eVehicleMatch or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal, non-commercial purposes in accordance with these Terms. This license does not include any right to:

• Resell or make commercial use of the platform or its content
• Collect or use product listings, descriptions, or prices
• Make derivative works of the platform
• Download or copy account information for the benefit of another merchant
• Use data mining, robots, or similar data gathering and extraction tools

10.3 Trademarks: The eVehicleMatch name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of eVehicleMatch or its affiliates or licensors. You may not use such marks without our prior written permission.

10.4 Your Content: You retain ownership of any intellectual property rights in User Content you submit. However, by submitting User Content, you grant us the license described in Section 9 above.

10.5 Copyright Infringement: If you believe that any content on our platform infringes your copyright, please contact us at legal@eVehicleMatch.com with a detailed notice of infringement.

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. Any legal actions or proceedings arising from or relating to these Terms or your use of the platform will be brought exclusively in the federal or state courts located in North Carolina, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the platform and may close your account.
